Note: This is an English translation of the German Allgemeine Geschäftsbedingungen (AGB) provided for informational purposes. In case of any conflict between this document and the German AGB, the German version governs.

1. Scope and Provider

These Terms & Conditions ("Terms") govern the use of the iOS app PromptL and the associated website promptl.app.

For the purchase of in-app purchases and subscriptions, Apple Distribution International Ltd. (Apple App Store) is your contractual partner for the transaction. These Terms govern the usage relationship between the user and Carina Nasir as developer and operator of the app.

2. Service Description

PromptL is an iOS app for managing and organizing AI prompts. The app allows users to save, categorize, search, and use prompts via an iOS system keyboard and a Share Extension in other apps.

The app is offered in the following plans:

The exact scope of each plan is determined by the current description in the App Store and within the app. Prices are shown in the Apple App Store at the time of purchase and are inclusive of applicable taxes.

3. Formation of Contract

The usage agreement for the free plan is formed upon downloading and installing the app via the Apple App Store.

The contract for a paid subscription (Pro Monthly, Pro Annual) or the Lifetime purchase is formed upon confirmation of the purchase in the Apple App Store. The purchase process is handled entirely by Apple. Apple's terms and conditions apply additionally.

The contract language is German and English. In case of any conflict between the German and English versions of these Terms, the German version governs.

Apple's Standard End User License Agreement (EULA) also applies, available at apple.com/legal/internet-services/itunes/dev/stdeula/.

4. Prices and Payment

All prices for paid plans are displayed in the Apple App Store at the time of purchase and are final prices inclusive of applicable taxes.

Billing and payment processing is handled exclusively by Apple in accordance with the App Store terms. The provider does not receive your payment details. For refund requests, Apple is the responsible payment processor.

For subscriptions (Pro Monthly, Pro Annual), the amount is charged at the beginning of each billing period to the payment method linked to your Apple account.

5. Subscriptions, Terms, and Cancellation

5.1 Monthly and Annual Subscriptions

Monthly and annual subscriptions automatically renew for the subscribed period unless cancelled before the end of the current period. Cancellation must be made at least 24 hours before the end of the current billing period.

Cancellation is exclusively through your Apple ID settings: Settings → [Apple ID] → Subscriptions. Cancellation by email to the provider is not possible for subscriptions, as management is handled entirely by Apple.

5.2 Automatic Renewal

Important notice on automatic renewal: Subscriptions renew automatically unless cancelled in time. The corresponding amount will be charged to your Apple account. The current renewal price is visible in the App Store before purchase and in the subscription management area of your Apple account.

5.3 Price Changes for Subscriptions

For price changes to subscriptions, you will be notified by Apple in accordance with Apple's guidelines in a timely manner. If you do not agree to the price change, the subscription will end at the end of the current period.

5.4 Lifetime Purchase

The Lifetime purchase grants the user permanent access to the full feature set of PromptL for as long as the service is commercially operated, but for a minimum period of 3 years from the date of purchase. The Lifetime purchase is a one-time, non-refundable in-app purchase and does not constitute a continuing contractual obligation.

Should the operation of PromptL be discontinued, Lifetime purchasers will be notified at least 90 days in advance by email. In the event of service discontinuation, we will review pro-rata refund claims on a case-by-case basis and in any case fulfil the statutory minimum requirements under applicable law (§§ 327 ff. BGB).

6. Right of Withdrawal

For in-app purchases and subscriptions processed through the Apple App Store, Apple Distribution International Ltd. is your contractual partner for the transaction. The right of withdrawal against Apple is governed by Apple's terms of use and the statutory provisions of your country.

Apple grants EU consumers a 14-day right of withdrawal under Directive 2011/83/EU. Refund requests must be directed to Apple: support.apple.com/billing

The right of withdrawal expires for digital content (§ 356(5) BGB) when the consumer has expressly agreed that performance begins before the end of the withdrawal period and has acknowledged that they thereby lose their right of withdrawal. This acknowledgement is given during the Apple purchase process.

Direct Purchases Outside the App Store

Should the provider offer direct purchases outside the Apple App Store in the future, the following withdrawal notice applies:

Right of Withdrawal

You have the right to withdraw from this contract within fourteen days without giving any reason. The withdrawal period is fourteen days from the date of conclusion of the contract. To exercise your right of withdrawal, you must notify us (Carina Nasir, Anna-Zammert-Allee 4, 37073 Göttingen, Email: support@promptl.app) by means of a clear statement of your decision to withdraw from this contract.

7. Conformity of Digital Products

PromptL is a digital service within the meaning of applicable consumer protection law (implementing EU Directive 2019/770). As the provider, we ensure that the digital service meets the agreed and objective requirements.

The provider will supply updates (including security updates) during the contract period that are necessary to maintain the conformity of the digital service. For a Lifetime purchase, this applies for the minimum period defined in Section 5.4.

In the event of defects in the digital service, you are entitled to remedy (restoration of conformity). If the remedy fails or is refused by the provider, you may reduce the price or terminate the contract. Statutory warranty rights remain unaffected.

8. User Obligations and Acceptable Use

You agree to use the app only as intended and in compliance with these Terms and applicable laws. In particular, the following are prohibited:

  • Reverse-engineering, decompiling, or extracting the source code of the app
  • Using the app for unlawful purposes
  • Using or sharing third-party login credentials
  • Overloading or otherwise impairing the app's infrastructure

The provider reserves the right to temporarily or permanently suspend a user's access to the app in the event of serious violations. A serious violation includes in particular: using multiple accounts to circumvent usage restrictions, attempting to reverse-engineer or decompile the app, using the app for illegal purposes, and substantially impairing the app's infrastructure.

9. Limitation of Liability

The provider is liable without limitation for damages arising from injury to life, body, or health, and for damages caused by intentional or grossly negligent conduct.

Otherwise, the provider's liability is limited to foreseeable, contract-typical damages at the time of contract conclusion. Liability for slight negligence exists only in the event of a breach of essential contractual obligations (cardinal obligations).

The provider accepts no liability for the content of prompts saved by users. Liability for data loss is limited to the effort that would have been required with proper data backup by the user.

10. Availability and Maintenance

The provider endeavours to maintain high availability of the app and related services. However, no specific availability is guaranteed unless a formal SLA has been agreed.

Maintenance work will be carried out during low-usage periods where possible. Users will be notified in advance of longer planned outages.

11. Privacy

The processing of personal data is governed by the Datenschutzerklärung and the Privacy Policy of the provider.

12. Changes to These Terms

The provider reserves the right to amend these Terms with future effect. Material changes will be communicated to users at least 30 days before they take effect by email or in-app notification.

For material changes that affect user rights, active acceptance by the user is required. If a user does not accept the amended Terms, they are free to terminate the usage relationship. Continued use of the app after amended Terms take effect constitutes acceptance only for minor editorial changes.

13. Dispute Resolution and Applicable Law

These Terms are governed by the laws of the Federal Republic of Germany, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). For consumers resident in the EU, the mandatory consumer protection laws of their country of residence also apply.

We do not participate in dispute resolution proceedings before a consumer arbitration board and are not obliged to do so (§ 36 VSBG).

14. Final Provisions

Should any individual provision of these Terms be or become invalid, this shall not affect the validity of the remaining provisions. The invalid provision shall be replaced by the applicable statutory rule.
